Atticus Franchise Group is seeking a high energy, hardworking, resourceful Paralegal to join the team reporting to the General Counsel. Atticus is rapidly growing, and this key role will be responsible for supporting the General Counsel with all documents and other relevant legal matters.

Atticus Franchise Group is an Atlanta-based private equity firm focused on investment opportunities in franchise companies, with a focus on multi-unit franchisee portfolio opportunities and providing growth capital to emerging brands in the Southeast. Atticus focuses on franchise concepts with a compelling value proposition, meaningful barriers-to-entry, predictable cash flows, and identifiable growth. Through our industry relationships, advisory board, lending partners, and previous experience of franchise operations, our team looks to create a competitive advantage for outsized returns to our investors. Currently, Atticus owns and operates Massage Envy and Sonic Drive-In franchised locations.

Responsibilities Include:

  • Entity Management – Current portfolio of over 200 SPEs
    • Drafting and filing organizational documents, including articles of organization and foreign entity registrations
    • Drafting agreements related to new corporate entity formations such as Operating Agreements and Management Agreements
    • Maintaining good standing status of all entities, both domestic and foreign, including filing annual reports
    • Organizing and maintaining company documents and records, and responding to requests for information
    • Managing monthly reporting of the status of our entity portfolio
  • Real Estate Lease Administration – Current portfolio of over 120 leases
    • Reviewing LOIs and leases, abstracting relevant information for inclusion in our lease administration software
    • Managing monthly reporting of the status of our real estate portfolio
  • Franchise Agreements – Current portfolio of over 120 franchise agreements
    • Reviewing franchise agreements, abstracting relevant information for inclusion in our lease administration software
    • Managing monthly reporting of the status of our franchise agreements
  • Acquisitions – High Growth Company
    • Performing due diligence, including UCC searches and good standing certifications
    • Managing closing checklists and coordinating ancillary closing documents and deliverables needed for closing
    • Integrating closing documentation into our existing document archiving systems
  • Financing – Acquisition and Real Estate Credit Facilities
    • Drafting ancillary loan documentation
    • Managing closing checklists and coordinating ancillary closing documents and deliverables required by our lenders
  • General Corporate – Miscellaneous
    • Reviewing and editing confidentiality agreements, vendor agreements and general corporate contracts
    • Reviewing primary financing documents to determine whether the conditions for closing have been satisfied
    • Maintaining documents accurately in our document management system
    • Developing and maintaining strong relationships with all partners, both internal and external
    • Contributing to driving the company initiatives, culture, and vision
    • Performing other duties as needed

Minimum Requirements:

  • B.A. in business management or administration, or a related field of study
  • 2-3 years of paralegal experience, real estate leasing, commercial lending, and/or M&A experience in a “Big Law” setting a plus
  • Completion of an ABA-approved paralegal program
  • Strong problem-solving skills
  • Demonstrates a high degree of attention to detail
  • Ability to function in a fast-paced, OPEN work environment with a high sense of urgency
  • Highly trustworthy and discreet
  • Above average communication skills, both verbal and written
  • Strong time management and multi-tasking skills
  • Organizational, planning, and prioritization skills
  • Analytical, problem-solver, and able to work with minimal supervision
  • Very competent in Microsoft Office applications, Microsoft Teams
