Through its Federal subsidiary, Microsoft sells and supports cloud services, hardware, software, and professional services (consulting and product support) to all Civilian, Department of Defense, and Intelligence Community (IC) agencies, as well as system integrators and other partners who serve the U.S. Federal Government. The Microsoft Corporate, External and Legal Affairs (CELA) department has an immediate opening for a dynamic, motivated, and experienced attorney to provide comprehensive legal support for the compliance and operations functions for the Microsoft Federal subsidiary, and support for the CVP and business leadership team responsible for the subsidiary’s Federal Civilian sales business unit. The role is based in the Rosslyn/Arlington, VA office.

Responsibilities

Team Management: Lead, manage and coach a small team of legal professionals.
  • Communicate clear priorities, performance feedback and career development support
  • Hire and help with onboarding and development of new talent as needed
  • Coordinate and leverage CELA to the extent necessary to support the Microsoft Federal business
Compliance & Operations Support: Provide oversight and efficient execution in the following areas across the entire breadth of the Microsoft Federal subsidiary:
  • Work closely with team members, senior CELA and business leadership to proactively monitor, prioritize, and address operational risk and compliance issues and trends impacting Federal government customers and partners
  • Assist in the development and support of compliance programs, systems, processes and training appropriate for a world-class U.S. government contractor
  • Assist business stakeholders with optimizing and implementing compliance and governance infrastructure for risk management in a highly regulated Federal industry vertical in a manner that both mitigates risk and enables Microsoft Federal’s continued growth
  • Provide legal advice to ensure operational security, appropriate protection of Federal Government sensitive information at all data classifications, and compliance with all applicable laws, regulations, policies, and other obligations of a world-class Federal Government contractor
  • Collaborate with teams across the business and CELA to develop efficiencies through tooling to enable business compliance
  • Ensure deep alignment and coordination with engineering, business and other corporate legal teams engaging with or supporting Microsoft’s interactions with the Federal Government
  • Drive/coordinate policy affecting Microsoft Federal business with CELA U.S. Government Affairs, Regulatory Affairs, Corporate Security and Trust, and other Microsoft teams focused on government compliance


Civilian Business Unit Sales Support: Provide legal counsel and support to the Corporate Vice President and executive leadership team responsible for Microsoft Federal’s Civilian business unit.
  • Draft, negotiate and advise business clients relative to the compliant pursuit, negotiation and closure of deals related to complex cloud computing, software, technical support, professional services, hardware and leading edge opportunities involving Microsoft’s leading technologies, including but not limited to RFx responses and procurements, multi award schedule (MAS) transactions, Other Transaction Authorities (OTAs), teaming agreements, strategic alliances, product support, and all other agreements involving Federal Government customers and partners
  • Develop localized, model standard agreements and clauses for future Federal Government transactions

Outside Counsel and Vendor Coordination
: Manage budget and drive synergies in management and retention of outside counsel, strategic advisors, and other vendors in support of Microsoft’s U.S. government contracting including the Federal business.
  • Coordinate legal matters handled by external counsel for large Federal Government procurements, transactions, and protests.
  • Coordinate legal matters handled by external counsel for compliance and operations related projects.


Qualifications

Required/Minimum Qualifications
  • Bachelor's Juris Doctorate Degree or Equivalent International Degree
    • OR Completion of a Legal Apprenticeship.
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
  • 7+ years experience as a practicing attorney
    • OR equivalent practice of law.
  • Citizenship Verification: The successful candidate must be a U.S. Citizen and requires verification of US Citizenship to meet federal government security requirements.

Additional or Preferred Qualifications
  • Law degree from an accredited U.S. law school
  • Admission to and in good standing with the state bar of at least one U.S. state
  • At least 10 years of relevant experience gained in-house, or at a government agency or law firm supporting Federal government transactions, as well as experience with FAR, DFARS, commercial item procurement, and government compliance and operations.
  • Knowledge and practical experience in legal support for government contracting, including cybersecurity, ITAR, Trade Agreements Act, national security, small business set asides and small business subcontracting, and other unique U.S. Government contracting requirements.
  • Strong analytical, writing, and oral communication skills
  • Working knowledge of Microsoft Outlook, Word, and PowerPoint
  • Experience managing a legal team for a large government contractor, cloud services provider, law firm or government agency
  • Demonstrated ability to motivate and inspire a team to achieve high impact, top performance
  • Demonstrated project management skills
  • Proficiency in advising on data protection issues and privacy laws
  • Understanding of advanced technologies including artificial intelligence
  • A TS/S security clearance or ability to apply for one after hire

The ability to meet Microsoft, customer and/or government security screening requirements are required for this role. These requirements include, but are not limited to the following specialized security screenings:


  • Microsoft Cloud Background Check: This position will be required to pass the Microsoft Cloud background check upon hire/transfer and every two years thereafter.
  • Citizenship Verification: This position requires verification of US Citizenship to meet federal government security requirements.
  • Clearance: This position may require a US clearance processed by our National Security team following hire.

Legal Counsel M5 - The typical base pay range for this role across the U.S. is USD $139,400 - $242,600 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $176,000 - $264,000 per year.

Microsoft has different base pay ranges for different work locations within the United States, which allows us to pay employees competitively and consistently in different geographic markets (see below). The range above reflects the potential base pay across the U.S. for this role (except as noted below); the applicable base pay range will depend on what ultimately is determined to be the candidate’s primary work location. Individual base pay depends on various factors, in addition to primary work location, such as complexity and responsibility of role, job duties/requirements, and relevant experience and skills. Base pay ranges are reviewed and typically updated each year. Offers are made within the base pay range applicable at the time.

At Microsoft certain roles are eligible for additional rewards, including merit increases, annual bonus and stock. These awards are allocated based on individual performance. In addition, certain roles also have the opportunity to earn sales incentives based on revenue or utilization, depending on the terms of the plan and the employee’s role. U.S.-based employees have access to medical, dental, and vision insurance, a 401(k) plan and company match, short-term and long-term disability coverage, basic life insurance, and wellbeing benefits, among others. U.S.-based employees also receive, per calendar year, up to 10 scheduled paid holidays, and up to 80 hours Holistic Health Time Off. Additionally, hourly/non-exempt employees accrue up to 120 hours paid vacation time, and salaried/exempt employees have Discretionary Time Off (DTO).
